These Terms of Service (“Terms”) govern your access to and use of the website www.spidi.ng (the “Site”) operated by Spidi Technologies Ltd (“Spidi”, “we”, “us”, or “our”), a company registered in Nigeria with headquarters in Lagos.
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.
The Site provides information about our high-end software development, mobile applications, infrastructure, cybersecurity, and strategic consultancy services. It also enables you to:

No formal user accounts are created on the Site. You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If submitting on behalf of a company, you warrant that you have authority to bind that entity.
All content on the Site (text, graphics, logos, icons, code, and materials) is owned by or licensed to Spidi and protected by Nigerian and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to view and use the Site for personal or internal business purposes only. You may not reproduce, modify, distribute, or create derivative works without our prior written consent.
By submitting any information, project brief, files, resume, or other content (“User Content”) through the Site, you grant Spidi a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and display such content solely for the purpose of responding to your inquiry, evaluating your application, or providing the requested service. You represent and warrant that you own or have the necessary rights to submit such User Content and that it does not infringe any third-party rights.

The Site and all content are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses. Any reliance on the Site is at your own risk.
To the maximum extent permitted by law, Spidi and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Site, even if advised of the possibility of such damages. In no event shall our total liability exceed the amount (if any) you paid us in the twelve months preceding the claim. This limitation applies regardless of the legal theory.
You agree to indemnify, defend, and hold harmless Spidi and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your use of the Site.
We may terminate or suspend your access to the Site at any time, with or without cause, without notice. All provisions that by their nature should survive termination shall survive.
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
We may update these Terms at any time. Continued use of the Site after the new effective date constitutes acceptance of the revised Terms.
